1. What is the League Rewards Program?

League Inc. (“League”, “us”, or “we”) offers to qualified members of League (“League Member” or “you”) who have a registered account and membership profile with League (“League Account”) the opportunity to participate in a rewards program (“Rewards Program”).  In connection with the Rewards Program, you may have the opportunity to participate in various health related missions, challenges, or other activities (“Health Challenge(s)”), to earn virtual points ("Points") for participating in or completing the Health Challenges and to participate in a sweepstakes promotion from time to time (the “Sweepstakes”). Your Points will be converted to a non-monetary credit in your League Digital Wallet (“Credit”) to be used for purchasing products and services available in the League Marketplace. The Rewards Program is subject to and governed by the terms and conditions in the League Terms of Service and Privacy Policy.

2. Who can participate? 

You must be a League Member with a valid League Account to participate in the Rewards Program. In addition, to participate in the Sweepstakes, in addition to any other participation guidelines with respect to a particular Sweepstakes or local law, you must be (a) legal resident in the 50 United States, the District of Columbia, Puerto Rico, and any province or territory of Canada other than Quebec and (b) be at least 18 years of age or older at the time of entry. Your relationship with League and your use of the League Marketplace are governed by the League Terms of Service.  Therefore your participation in the Rewards Program is subject to your ongoing compliance with the League Terms of Service. If offered by League, your participation in the Rewards Program is purely voluntary and you may choose to participate or stop participating at any time.

3. General rules for participation 

These terms and conditions set out the rules for the Rewards Program (the "Rewards Program Rules").  All questions or disputes regarding eligibility for the Rewards Program or the eligibility, accrual, conversion, and redemption of Points and Credits will be resolved by League, in our sole discretion.  Information about the Rewards Program from sources other than League may not be accurate and therefore League will not be responsible to you for any representations, warranties or other information about the Rewards Program that are made available by a third party. 

BY PARTICIPATING IN THE REWARDS PROGRAM OR ANY RELATED PROMOTION OR INCENTIVE, YOU ARE AGREEING FULLY AND UNCONDITIONALLY TO BE BOUND BY THE REWARDS PROGRAM RULES AND AGREE THAT LEAGUE HAS THE SOLE DISCRETION TO MAKE DECISIONS, UPDATES, MODIFICATIONS AND OTHER ACTIONS IT DEEMS APPROPRIATEIN ALL MATTERS RELATED TO THE REWARDS PROGRAM. IF YOU DO NOT AGREE TO BE BOUND BY THESE REWARDS PROGRAM RULES, INCLUDING LEAGUE’S PRIVACY POLICY AND LEAGUE’S TERMS OF SERVICE, WHICH ARE INCORPORATED HEREIN BY REFERENCE, YOU ARE NOT AUTHORIZED TO AND WILL NOT PARTICIPATE IN THE REWARDS PROGRAM.

4. Disclaimer, consent, and release required for participation 

It is expressly noted that some personal health improvement programs, which may be included as part of Health Challenges, are not appropriate for individuals who have certain medical or other health conditions. YOUR VOLUNTARY PARTICIPATION IN THE REWARDS PROGRAM IS SOLELY AT YOUR OWN RISK. YOU ARE STRICTLY RESPONSIBLE FOR SEEKING MEDICAL ADVICE FROM A PHYSICIAN PRIOR TO PARTICIPATING IN ANY HEALTH CHALLENGES IN THE REWARDS PROGRAM.  You hereby agree and understand that you may not be aware of a medical condition from which you suffer, and therefore you will not participate in the Rewards Program prior to seeking the advice of a physician. 

The Health Challenges, including any health promotion activities presented in the Rewards Program, are in no way intended to be or treated as a substitute for medical consultation, diagnosis, treatment or advice.  You agree that we are not liable for any damages, injuries or negative results you may sustain from participating in the Rewards Program. League disclaims any and all liability from and in connection with your participation in the Rewards Program.

5. Conditions of Earning Points and Credits

Earning and redeeming Points and Credits is conditional upon the following:


  1. You must be a League Member to participate. You must be an individual person with only one League Account to be eligible for the Rewards Program. You will not earn Points, Credits, or otherwise participate in the Rewards Program with duplicate or multiple League Accounts.  


  1. You must not work with any other person, company, association, or group to direct, encourage, or allow individuals to use a single League Account for the purpose of accumulating Points or Credits.


  1. League may in its sole discretion put a cap on the number of participants in the Rewards Program or a particular Health Challenge.  Even if you are eligible, your participation in any particular Health Challenge or the Rewards Program is not guaranteed. 


  1. Unless League otherwise specifies, you may only participate in one Health Challenge at any given time. If multiple Health Challenges are offered concurrently, you must choose only one Health Challenge to participate in. 


  1. Participation in the Rewards Program is based on trust. Where dishonesty or fraud (which includes exaggeration) is reasonably suspected or discovered, any or all of the following actions may be taken:
  1. Points may not be awarded or may be removed;
  2. Points that have been converted to Credits may be removed; 
  3. We may require you to return or pay out of pocket for any purchases made using Credits earned as a result of any dishonest or fraudulent actions;
  4. You may be temporarily or permanently banned from participating in the Rewards Program;
  5. Your League Account may be suspended, deactivated or cancelled; and
  6. We may take any other action consistent with our legal rights.  
  1. In the event you terminate your League Account or are otherwise not in good standing with League, you may no longer participate in the Rewards Program, access your League Digital Wallet, collect Points, use your accumulated Points, or use any Credits. 

6. Earning Points

As part of your participation in the Rewards Program, you may have the opportunity to participate in Health Challenges and to earn a designated number of Points for achieving certain goals, completing certain challenges, or participating in a certain activity, all of which may be limited by number, size, time, or other limiting factor as specified in the details of the Health Challenge (“Qualifying Activity”).  For each Qualifying Activity completed, you will receive a specified number of Points as solely determined by League. 

League may, in its sole discretion:

  • Put a start and end date on any Health Challenge or Qualifying Activity;
  • Amend the end date of any Health Challenge or Qualifying Activity;
  • Amend the number of Points awarded per Qualifying Activity at any time;
  • Set a maximum amount of Points (“Cap”) that may be earned for any particular Health Challenge or Qualifying Activity.

After the specified end time and date of a particular Health Challenge, you will not earn any additional Points for continuing the applicable activities.

Further, the Cap could prevent you from earning Points for a particular Qualifying Activity.  You can monitor your progress against the Cap in your League Account.  Some activities may take time to process and may not be immediately reflected towards the Cap.  As such, it is possible that your  continued participation in a Qualifying Activity may not reflect the actual Points earned if it exceeds the Cap.

Further, due to possible delays in processing Points, earned Points may not be immediately available for your use or redemption. Points are earned within the Rewards Program, and you will not be able to purchase Points with cash or credit card.

7. Redeeming Points for Credits

Each Health Challenge will specify the redemption value of your Points.  At League’s discretion, we may amend the redemption value of the Points for an existing Health Challenge, for Points earned in the future.  The redemption value for Points earned up to the date of the change will not change.

When you are ready to redeem your Points, you must do so through your League Account. Points may be redeemed as Credits only.  Upon redemption, Credits will be placed in your League Digital Wallet. 

When you redeem Points, the appropriate number of Points will be automatically deducted from your account balance. Once those Points are deducted, they will not be returned and will be considered used and deleted from the total Point balance. 

8. Using Credits 

Credits from redeemed Points are placed in your League Digital Wallet and can be used for services or products offered in the League Marketplace at the time you use your Credits.

League makes no guarantees as to the continued availability of any particular service or product in the League Marketplace.  You will only be able to use Credits to purchase the then-offered services and products in the League Marketplace. 

Use of your Credits may be subject to additional terms and conditions imposed by the participating supplier or service provider in the League Marketplace.  Use of the Credits for particular products, merchandise, or services are subject to availability, which may be changed by the supplier or service provider with or without notice based on their terms and conditions.  Credits may not be combined with other manufacturer or retailer coupons, discounts, or rebates for the same service or product.

9. Limitations regarding your Points and Credits

  1. No Cash Value. Points and Credits have no cash value, are non-negotiable, non-refundable and cannot be redeemed either in whole or in part for cash. There is no cash value for Points or Credits, and you have no property rights or other legal interests in Points or Credits. Points and Credits have no monetary value and cannot be used or redeemed outside of the League Marketplace.
  2. Not Transferrable. Points and Credits are for your benefit only and may not be transferred to another person for any reason, including divorce or inheritance. Points and Credits may not be brokered, bartered, attached, pledged, gifted, sold or transferred with or without consideration.
  3. Not to be used with other Promotions/Discounts.  Points and Credits may not be combined with any other offers, discounts, or promotions, or transferred to any other type of program offering or rewards.  
  4. No Pooling. You must not work with any other person, company, association, or group to direct, encourage, or allow individuals to use a single League Account for the purpose of accumulating Points.  Further, Points and Credits may not be pooled or combined with any other League Member’s Points or Credits.

Any receipt or use of Points or Credits in violation of these Rewards Program Rules will be null and void and may result in the loss of existing or accumulated Points or Credits, regardless if such Points or Credits were earned in compliance with the Rewards Program Rules.


10. Expiration

Your unused Point balance and unused Credit balance will remain in your League Account so long as you are an active League Member.  You will no longer be considered an active League Member if: 

  • You do not purchase goods or services from the League Marketplace for a period of 24 months; 
  • If you are a League Member as part of health benefit program with your employer, your employer ceases the health benefit program through League, and 12 months have expired since the health benefit program ceased; OR  
  • You cancel or terminate your League Account.


When you are no longer an active League Member, you will forfeit all Points and Credits that may be remaining in your League Account. Once Points and Credits have been forfeited, they will not be reinstated.

11. Errors/Corrections/Reversals

Points and Credits, as reflected in League records, shall be deemed correct and League reserves the right to correct or modify the Point or Credit amount at any time based on League records. If you believe your League Account does not reflect the actual number of Points or Credits earned, you may notify League. League may, but is not obligated to, investigate the Point or Credit balance. If your League Account does not reflect the correct amount of Points or Credits that you should have been awarded as solely determined by League, League may adjust your Points or Credit balance. LEAGUE RESERVES THE RIGHT TO CORRECT, MODIFY, OR REVERSE – OR CAUSE TO BE REVERSED – ANY POINTS OR CREDITS THAT ARE MISTAKENLY OR IMPROPERLY AWARDED TO YOU AT ANY TIME AND WITHOUT NOTICE TO YOU.

12. Sweepstakes

  1. Announcement. From time to time, League may offer individuals the opportunity to enter into a Sweepstakes. League will announce a Sweepstakes through an official sweepstakes email or other promotion (“Sweepstakes Announcement”).  The start and end date and time for each Sweepstakes (“Sweepstakes Period”), during which entries must be submitted, will be clearly stated in each Sweepstakes Announcement.  League’s time is the official time for the Sweepstakes.  League will only accept entries submitted as described in these terms and condition and the applicable Sweepstakes Announcement during the specified Sweepstakes Period.  If you meet the eligibility requirements, you may submit up to one (1) total entry during the Sweepstakes Period, provided such Eligible Entrant meets all criteria in these Rules and the relevant Sweepstakes Announcement. 
  1. How to Enter. After you have received a Sweepstakes Announcement, you may enter the Sweepstakes by following the instructions in the Sweepstakes Announcement, which may requirement may include you completing a Health Challenge or portion thereof. Doing so will automatically enter you with one (1) entry in the Sweepstakes.  

Each Eligible Entrant is permitted only one (1) entry per Sweepstakes regardless of the number of times that enter the Sweepstakes or otherwise complete the conditions precedent for entry.  Any attempt by any participant to obtain more than the stated number of entries by using multiple and/or different identities, registrations, email addresses, log-ins, automated and/or third-party entries or any other method will void that participant’s entries, and that participant may be disqualified at League’s discretion.  Entries from one Sweepstakes will not be transferred to any other Sweepstakes, unless otherwise specified by League in writing.  To be eligible to win a prize during an Entry Period, you must enter that Sweepstakes during the applicable Entry Period using the applicable entry method.

12.3 Prize. League will select such number of prize winner for each Sweepstakes as specified in the Sweepstakes Announcement.  The prizes and applicable approximate retail value (“ARV”) may vary, and will be specified for each Sweepstakes in the applicable Sweepstakes Announcement.

12.4  Prize Restrictions.  Prizes will be restricted to one (1) prize per League Member, per Sweepstakes. Each Sweepstakes shall be administered separately, and the total aggregate ARV of the prize for each Sweepstakes is based solely on that particular Sweepstakes.  League shall, in its sole discretion, select the prizes and prize winners. Dates, times, deadlines, and prizes are subject to change in the sole discretion of League.

12.5 Taxes. ANY AND ALL APPLICABLE FEDERAL, STATE, PROVINCIAL AND LOCAL TAXES AND ALL FEES AND EXPENSES RELATED TO ACCEPTANCE AND USE OF PRIZE NOT SPECIFICALLY STATED HEREIN ARE THE RESPONSIBILITY SOLELY OF WINNER. 

12.6 Substitution and Transfer. Prize cannot be substituted, assigned, transferred, or redeemed for cash; however, League reserves the right to make equivalent prize substitutions at its sole discretion.  League will not replace any lost or stolen prizes or components of a prize(s).  Prize cannot be used in conjunction with any other promotion or offer.  Only the number of prizes stated in these Terms and Conditions or an applicable Sweepstakes Announcement is available to be won in the Sweepstakes.  If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available. The right to receive a prize is non-assignable, non-transferable, and no prize substitution, exchange, transfer or cash equivalent will be allowed, except by League who reserves the right to substitute prize of equal or greater value in case of unavailability of prize or force majeure.  

12.7 Selection of Winner and Odds. Within fifteen (15) business days of the close of the Entry Period, League will select the name of such number of winner as set out in the Sweepstakes Announcement in a random physical or electronic drawing from among all eligible entries received for the applicable Sweepstakes.  The drawing will take place at League’s offices in Toronto, Ontario. or another location designated by League.  If your entry is drawn, you will be deemed the potential winner of the prize for the applicable Sweepstakes, pending confirmation and/or verification of your eligibility and compliance with these Official Rules.  The odds of winning are based on the number of eligible entries received

12.8 Award of Prize. If you are selected as a potential winner of a Sweepstakes, you will be notified by League platform, email, telephone or mail within fifteen (15) business days of the applicable drawing.  To claim your prize, you must reply to League as specified and within the time period indicated in your notification, or League may, in its sole discretion, select an alternative potential winner.  If you are a Canadian resident, you may be required to correctly answer a skill-testing mathematical question in order to claim a prize.  Before awarding a prize, League may require you to furnish proof of identification and other proof of eligibility under these terms and conditions and to execute and return any required documentation, including but not limited to a Declaration of Eligibility and Release, tax acknowledgment, and other forms.  If requested, you must execute and return any and all documents requested by League, completed in their entirety, within ten (10) business days from the date any such documents are sent to you, and participate in any other checks or activities upon request, or your prize may (in League’s sole discretion) be forfeited.  If you are found to be ineligible or otherwise not in compliance with these terms and conditions, decline to accept the prize, League is unable to contact you, or in the event that the prize or prize notification is returned undeliverable, you will forfeit the prize, and League may, in its sole discretion, select an alternative potential winner at random from the pool of all eligible entrants. Please allow 8-12 weeks for delivery of your prize.

13. Termination/Cancellation

League reserves the right, in its sole discretion, without notice and at any time, to terminate or cancel the Rewards Program, in whole or in part, or a League Member’s participation in the Rewards Program, with or without cause. "Termination" shall be defined as ending the Rewards Program, with no further ability to earn Points or Credits by anyone, including those who have commenced participation in a Health Challenge. The Rewards Program will not be deemed as terminated if a replacement/successor program is made available to League Members that offer League Members a reasonable means to earn Points and Credits. "Cancellation" shall be defined as the expiration or revocation of a League Member's eligibility to participate in a Health Challenge or the Rewards Program, for any reason, with or without cause. Termination and Cancellation may result from violation of Rewards Program Rules, or any terms and conditions applicable to League Members. Except as required by local laws, all accrued Points and Credits will automatically expire upon the date of Termination, Cancellation or cease of your participation in the Rewards Program.

14. Limitation of Liability

League and its parent companies, affiliates, subsidiaries, clients, customers, partners, representatives, consultants, contractors, legal counsel, and their respective officers, directors, employees, representatives, and agents ("Released Parties") are not responsible for illegible, lost, late, incomplete, misdirected, or undeliverable email; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical, typographical, or other error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. League and the Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, or technical error. YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY CLAIM WHATSOEVER IN CONNECTION WITH THE REWARDS PROGRAM SHALL BE A REFUND OF THE AMOUNT OF POINTS OR CREDITS THAT HAVE BEEN LOST AS A RESULT OF ANY ACT OR OMISSION OF LEAGUE.

15. AGREEMENT, WAIVER, AND RELEASE 

BY PARTICIPATING IN THE REWARDS PROGRAM, EARNING AND REDEEMING POINTS, OR RECEIVING AND USING CREDITS, YOU AGREE:

(A) TO BE BOUND BY THESE REWARDS PROGRAM RULES AND BY ALL APPLICABLE LAWS AND DECISIONS OF LEAGUE, WHICH SHALL BE BINDING AND FINAL;

(B) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THESE REWARDS PROGRAM RULES; 

(C) TO FOREVER AND IRREVOCABLY RELEASE AND HOLD HARMLESS THE LEAGUE AND THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, LAWSUITS, JUDGMENTS, CAUSES OF ACTION, PROCEEDINGS, DEMANDS, FINES, PENALTIES, LIABILITY COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, OUTSIDE ATTORNEYS' OR LEGAL FEES) THAT MAY ARISE IN CONNECTION WITH: (I) THE REWARDS PROGRAM, ANY HEALTH CHALLENGE,  OR ANY ACTIVITIES IN CONNECTION WITH THE REWARDS PROGRAM, OR ANY POINTS/CREDITS, INCLUDING BUT NOT LIMITED TO YOUR PARTICIPATION OR INABILITY TO PARTICIPATE IN THE REWARDS PROGRAM OR OTHER ACTIVITY, (II) TYPOGRAPHICAL, PRINTING, AND OTHER ERRORS IN THESE PROGRAM RULES OR ANY REWARDS PROGRAM MATERIALS, (III) ANY CHANGE IN ANY POINTS/CREDITS OR DISTRIBUTION OF POINTS/CREDITS(OR ANY COMPONENTS THEREOF) DUE TO UNAVAILABILITY, OR DUE TO REASONS BEYOND LEAGUE’S CONTROL, (IV) ANY INTERRUPTIONS IN OR POSTPONEMENT, CANCELLATION, OR MODIFICATION OF THE REWARDS PROGRAM OR ANY HEALTH CHALLENGE, (V) HUMAN ERROR, (VI) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT OR TRANSMISSION OF ANY ENTRY, (VII) ANY TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF THE WEBSITE OR ANY TELEPHONE NETWORK, COMPUTER SYSTEM, COMPUTER ONLINE SYSTEM, COMPUTER TIMING AND/OR DATING MECHANISM, COMPUTER EQUIPMENT, SOFTWARE, OR INTERNET SERVICE PROVIDER, OR MAIL SERVICE UTILIZED BY LEAGUE, ANY OF THE RELEASED PARTIES, OR BY YOU, (VIII) INTERRUPTION OR INABILITY TO ACCESS LEAGUE’S WEBSITE, THE LEAGUE MARKETPLACE OR ANY ONLINE SERVICE VIA THE INTERNET DUE TO HARDWARE OR SOFTWARE COMPATIBILITY PROBLEMS, (IX) ANY LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR ANY OTHER ERRORS OR MALFUNCTIONS, (X) ANY LATE, LOST, STOLEN, MUTILATED, MISDIRECTED, ILLEGIBLE, DELAYED, GARBLED, CORRUPTED, DESTROYED, INCOMPLETE, UNDELIVERABLE OR DAMAGED REWARDS PROGRAM SUBMISSIONS, (XI) LOST, LATE, STOLEN, INCORRECT, MISDIRECTED, DAMAGED OR DESTROYED POINTS, CREDITS OR OTHER REWARDS (OR ANY ELEMENT THEREOF), OR (XII) THE NEGLIGENCE OR WILLFUL MISCONDUCT BY YOU OR OF ANY THIRD PARTY,INCLUDING SUPPLIERS AND SERVICE PROVIDERS YOU RECEIVE PRODUCTS OR SERVICES THROUGH USING THE LEAGUE MARKETPLACE.

16. AT YOUR OWN RISK

LEAGUE AND RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY INJURY OR DAMAGE, WHETHER TO YOU OR TO ANY OTHER PERSON OR TO ANY PROPERTY, RELATED TO OR RESULTING FROM YOUR PARTICIPATION IN THE REWARDS PROGRAM, IN ANY HEALTH CHALLENGE, AND/OR THE ACCEPTANCE OR USE OF ANY POINTS OR CREDITS. BY PARTICIPATING IN ANY HEALTH CHALLENGE OR THE REWARDS PROGRAM, OR THE USE OF ANY POINTS OR CREDITS, YOU EXPRESSLY ASSUME ALL LIABILITY AND RESPONSIBILITY FOR YOUR PARTICIPATION AND AGREE THAT PARTICIPATION IS SOLELY AT YOUR OWN RISK.

17. DAMAGES EXCLUSION

IN NO EVENT WILL LEAGUE OR THE RELEASED PARTIES BE LIABLE TO YOU, OTHER LEAGUE MEMBERS, ANY PARTICIPANT IN THE REWARDS PROGRAM OR ANY THIRD PARTY FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THE REWARDS PROGRAM, OR YOUR RECEIPT OR USE OF POINTS OR CREDITS, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT LEAGUE OR ANY OF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

18. CAUTION AND WARNING

ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF ANY COMPONENT OF THE REWARDS PROGRAM OR THE LEAGUE WEBSITE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, OR IN THE EVENT A LEAGUE MEMBER FAILS TO FOLLOW ANY TERMS OF THE REWARDS PROGRAM RULES OR MAKES ANY MISREPRESENTATIONS IN CONNECTION WITH THE REWARDS PROGRAM, LEAGUE RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW.

League reserves the right to revoke, cancel or suspend your participation in the Rewards Program, or any Health Challenge or other component of the Rewards Program, or take any other action at its discretion, at any time with immediate effect and without written notice or liability to any League Member participating or attempting to participate in the Rewards Program if League believes the person has: (1) violated any of the Rewards Program Rules; (2) acted in a manner inconsistent with applicable laws; (3) engaged in any misconduct or wrongdoing in connection with the Rewards Program; (4) engaged in abusive, fraudulent, inappropriate, or hostile conduct in connection with the Rewards Program, or to League or its employees, or any other League Member participating in the Rewards Program; or (5) if League’s provision of the Rewards Program and/or any associated benefits (including but not limited to Points and Credits) is determined by League to violate any applicable law to which League is subject.

19. Disclaimer of Warranties

The Rewards Program is provided on an "as is" basis. League disclaims any and all representations and warranties, express or implied, with respect to any information, services and commercial offerings, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, and/or accuracy of information provided with respect to any Points, Credits, the products and services offered in the League Marketplace, and the Rewards Program. League further disclaims any warranties that the Rewards Program will be free from computer viruses or without technical glitches, including without limitation for any failure of performance, interruption, delay, or defect. League does not offer any warranty with respect to the results obtained from participating in the Rewards Program, nor as to the accuracy, reliability or content of any information, service or offerings provided through the Rewards Program. League does not warrant that the Rewards Program will be uninterrupted or error free. 

20. Additional General Terms 

Taxes and Fees:  The determination of tax liability arising out of the accrual or conversion of Points or Credits shall be your responsibility. You, not League, will be responsible for taxes, duty, and fees, if any, payable upon or in connection with the award of and use of Points and Credits. 

Potential Conflict:  If there is any conflict between the League Terms of Service and these Reward Program Rules, the Reward Program Rules take precedence, but only in relation to terms specific to the Rewards Program or a particular Health Challenge. To the extent that there is a conflict between the English language version and a version of the rules in another language on this page, the English version takes precedence and shall govern.

Waiver:  League may waive compliance with these Reward Program Rules in its sole discretion and may run promotions from time to time that provide enhanced benefits to select League Members.  League’s failure to exercise any of its rights under these Rewards Program Rules or its delay in enforcing or exercising any of those rights shall not constitute a waiver of such rights.

Changes to Rewards Program: League reserves the right to change the Rewards Program, including any component, at any time and in League’s sole discretion, without prior notice to League Members,  including but not limited to: (i) increasing or decreasing the number of Points awarded in connection with any Health Challenge or Qualifying Activity; (ii) shortening or extending a time period or changing a date in connection with any Health Challenge or Qualifying Activity; (iii) adding or removing functionality or technical capabilities of the League website, platform or League Marketplace; (iv) any other change, without limitation; and (v) adding or cancelling any Sweepstakes (to the extent permissible by applicable law).

Modification of Rewards Program Rules:  From time to time, League may, in its sole discretion, enhance, change, update, revise, limit, supplement, or modify these Rewards Program Rules or the Reward Program ("Modifications").  Changes to these Rewards Program Rules will be reflected in an updated version of these Rewards Program Rules that will be posted on the League’s website, and you agree that all changes will be effective upon such posting. You agree to regularly review these Rewards Program Rules so that you will be apprised of all changes. You can determine when these Rewards Program Rules were last revised by referring to the "LAST UPDATED" legend. By continuing to participate the Rewards Program after any notice or posting of the Modifications, you are agreeing to be bound by the Modifications and revised Rewards Program Rules. 

Severability: If any term(s), condition(s), right(s), obligation(s) set out in these Rewards Program Rules is held to be invalid or unenforceable under any applicable local laws or by an applicable court, that part shall be interpreted in a manner consistent with applicable law as nearly as possible to the original intentions of League, and even if found unenforceable, the remaining terms, conditions, rights, and obligations of the Rewards Program Rules will remain valid and enforceable.

Rewards Program Disputes and General Information: All questions or disputes regarding eligibility for the Rewards Program or the eligibility, accrual, conversion, and redemption of Points and Credits will be resolved by League, in its sole discretion.  Please contact help@league.com for all questions or disputes for the Rewards Program.

No Class Actions:  You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. You agree that class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.
